VENDOR AGREEMENT

This Vendor Agreement (the "Agreement") is entered into by and between SD Collectibles LLC ("Organizer") and the individual or entity identified as the vendor ("Vendor") upon purchase of a vendor table or space. By purchasing a vendor space or participating in any SD Collectibles LLC event, Vendor agrees to be bound by the following terms and conditions:

1. AGREEMENT TO TERMS (REFERENCE TO TERMS OF SERVICE)

By purchasing a vendor table or space, participating in, or attending any SD Collectibles LLC event as a vendor, Vendor agrees to be bound by: (a) this Vendor Agreement; and (b) the SD Collectibles LLC Terms of Service available on sdcollectibles.com (the “ToS”), which is incorporated by reference. If there is a conflict between this Vendor Agreement and the ToS, this Vendor Agreement will control solely with respect to vendor-specific participation and table/space rules.

2. VENDOR SPACE (SETUP AND TEARDOWN)

  • Assigned Space: Vendor will be provided the vendor table/space as described at checkout/booking. Vendor may not expand beyond their assigned footprint or block aisles, entrances, exits, or neighboring vendor space.

  • Setup Time: Specific setup and arrival times vary by venue and will be provided to the Vendor via the booking confirmation email. Vendor must be fully set up prior to the doors opening to the public.

  • Teardown Time: Specific teardown times will be provided in the booking confirmation email. To ensure a positive experience for attendees, early pack-up is discouraged.

  • Vacating the Venue: Vendors must fully vacate the venue by the time specified in their booking confirmation.

  • Participation Duration: Vendors are encouraged to remain fully set up for the entire duration of the event to ensure a positive experience for all attendees. While SD Collectibles LLC is not strictly enforcing a mandatory stay-until-close policy, early teardown is discouraged.

  • Late Arrival / Early Teardown: Organizer may reassign space, restrict entry, or take other reasonable steps to preserve event operations if Vendor arrives late or attempts to teardown early.

  • No-Show and Table Reallocation: Vendor must contact SD Collectibles LLC within one (1) hour of doors opening to the public (including any early entry periods) if Vendor is running late. If Vendor has not arrived or contacted Organizer staff within this one-hour window, Organizer reserves the right to reallocate the table/space to another vendor or use the space for other purposes.

  • Subletting / Transfers: Subletting is permitted, but vendor tables may not be sold or transferred for profit. Tables must not be sold for more than their original purchase price. If Vendor repeatedly causes issues or violates this rule, SD Collectibles LLC reserves the right to block Vendor from participating in all future shows.

3. SCOPE OF SERVICES

SD Collectibles LLC provides a marketplace for the sale, trade, and display of collectibles, including but not limited to sports cards, Pokémon cards, and other Trading Card Games (TCGs). The Organizer provides the venue space and marketing, while the Vendor is responsible for their own inventory and transactions.

4. FEES AND PAYMENTS

  • Table Fees: Vendor agrees to pay the specified table fee at the time of booking. SD Collectibles LLC is committed to providing affordable table fees to support the local hobbyist community.

  • All Sales Final; No Refunds: All vendor table fees are non-refundable and all sales are final, except as expressly stated below for organizer-cancelled events.

  • No Refunds Policy: All vendor table fees are non-refundable. As specified in the SD Collectibles LLC Terms of Service, purchase protection may be available through Ticket Tailor/XCover at the time of booking. If purchase protection is not purchased, SD Collectibles LLC will not provide refunds or credits for any reason.

  • Event Cancelled by Organizer: If SD Collectibles LLC cancels the event (and does not reschedule it within a reasonable timeframe), SD Collectibles LLC will contact Vendors regarding refund options or credits for a future event, as determined by Organizer in its sole discretion.

  • Purchase Protection: For events occurring on or after May 18, 2026, purchase protection may be available through third-party providers (such as XCover via Ticket Tailor). If purchased, any refund claims must be directed to the third-party provider and are subject to their specific terms and conditions. SD Collectibles LLC is not responsible for the approval or denial of third-party claims.

5. PRODUCT AUTHENTICITY (NO COUNTERFEITS / PROXIES)

  • No Counterfeits or Proxies: Vendor may not sell, trade, display, or distribute counterfeit items, unauthorized replicas, altered items intended to misrepresent authenticity, or proxy cards represented as genuine.

  • Enforcement: Organizer may, in its sole discretion, require removal of any suspected counterfeit/proxy items, and may remove Vendor from the event (without refund) for violations or suspected violations.

  • Vendor Responsibility: Vendor is solely responsible for verifying authenticity, condition representations, and compliance with applicable laws and platform/publisher policies.

6. LIABILITY AND ASSUMPTION OF RISK

  • Lost, Stolen, or Damaged Items: SD Collectibles LLC is not responsible for any Vendor property, including items that are lost, stolen, or damaged before, during, or after the event. Vendor is responsible for securing their inventory, cash, and personal property at all times.

  • General Liability: Vendor agrees that participation in the event is at their own risk. SD Collectibles LLC is not liable for any physical damage, personal injury, or financial loss incurred at the venue.

  • Indemnification: Vendor agrees to indemnify and hold harmless SD Collectibles LLC and its officers from any claims, damages, or expenses arising from Vendor’s conduct or the items brought to the event.

4. VENUE AND CANCELLATION

  • Venue Changes: In the event that a venue cancels or becomes unavailable, SD Collectibles LLC will make reasonable efforts to secure an alternative venue to ensure the event proceeds as scheduled.

  • Event Cancellation: If an alternative venue cannot be secured and the event must be cancelled entirely, SD Collectibles LLC will contact Vendors regarding potential refund options or credits for future events.

7. TAXES

Vendor is solely responsible for determining, collecting, reporting, and remitting any applicable taxes (including California sales and use tax) related to Vendor’s activities at the event, and for maintaining any required permits, seller’s permits, or business licenses.

8. VENDOR CONDUCT (PROFESSIONAL BEHAVIOR)

  • Professional Conduct Required: Vendor must behave professionally at all times and treat attendees, staff, security, and other vendors with respect.

  • No Disruptive Conduct: Harassment, discrimination, threats, intoxication that interferes with safety or operations, excessive profanity, or other disruptive behavior is not permitted.

  • Organizer Authority: Organizer may remove Vendor (and Vendor’s staff) from the event for violations or suspected violations, without refund, to maintain a safe and friendly community environment.

9. INTELLECTUAL PROPERTY

Vendor grants SD Collectibles LLC the right to use photographs or video of the Vendor’s table and setup for promotional and marketing purposes on the company website (sdcollectibles.com) and social media platforms.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from this Agreement shall be resolved in the courts of San Diego County, California.

11. ENTIRE AGREEMENT

This Agreement, along with the SD Collectibles LLC Privacy Policy and Terms of Service, constitutes the entire agreement between the parties. SD Collectibles LLC reserves the right to update these terms at any time. Continued participation in events constitutes acceptance of the updated terms.
